Agreement to These Terms

These terms govern how you use Reckon's services. When you check the acceptance box or use our services, you agree to these terms. If you don't agree, please don't use our services.

By accepting these terms, you confirm that you have the authority to sign this agreement on behalf of your company or, if you are an individual, that you are of age to enter into this agreement.

Key Definitions

• Customer Data - Any information you submit when using our services.

• Services - Access to our software platform, including updates and bug fixes.

• Documentation - Instructions and materials we provide for using our services.

• Credit Grant - Credits you purchase to use our services (one credit per email address processed), either through subscription or one-off purchases.

• Software - Any software we provide for you to download and use.

What You Can Do

Your Rights

We give you the right to:

• Use our software according to our documentation.

• Use our services for your internal business purposes.

• Let your affiliates use the services under your account.

• Generate and own reports from our services.

  
  

Beta Features

We may offer beta features for testing. These are:

• Optional - you can choose whether to use them.

• Provided without warranties.

• May be discontinued at any time.

Third-Party Integrations

You can use approved third-party services with ours, but:

• You're responsible for how they work.

• We're not liable for their performance.

• They may access your data as needed.

• We're not responsible if they cause problems.

What You Cannot Do

You cannot:

• Reverse engineer our software or try to discover our source code.

• Interfere with other users' experience.

• Introduce viruses or malicious software.

• Hack or test our security without permission.

• Submit illegal content or content that violates others' rights.

• Resell our services or use them for anything other than your business.

If you do any of these things, we will suspend your access to our Services and may take legal action.

Your Responsibilities

Account Security

You must:

• Protect your login credentials.

• Not share credentials with others.

• Not let multiple people use a single account.

• Tell us immediately (via support@reckonapp.io) about unauthorized access.

Your Data

You're responsible for:

• Making sure your data is legal and accurate.

• Following all applicable laws.

• Getting proper permissions before processing data.

• Backing up your own data (we don't provide backups).

Compliance

You must follow all laws that apply to your use of our services.

Pricing and Payment

How Pricing Works

• Current pricing is available at reckonapp.io.

• You pay for Credit Grants to use our services.

• Credit Grants are provided through subscriptions (in monthly periods starting from your subscription date) or one-time purchases.

• If your payment on file fails or expires, we will contact you via email multiple times to resolve the problem. If you do not respond or resolve the issue after these attempts, we may suspend or cancel your subscription.

• Over and above your monthly subscription credit grant, you can set up overage billing, which results in automatic replenishment (50 credits at a time).

• We can change or end promotions anytime.

Credits Expire

• Credit Grants received under a subscription expire at the end of the billing cycle associated with the subscription.

• Credit Grants received under a one-time purchase expire 365 calendar days after purchase.

• In all cases, unused credits are forfeited on the expiration date - no refunds.

Taxes

You pay all applicable taxes.

Who Owns What

We Own Our Stuff

• We own all rights to our services and software.

• You can't challenge our ownership.

• If you give us suggestions, we can use them freely and without owing you.

You Own Your Data

• You own your data.

• We can use your data only to provide services, at your direction, or as required by law.

  • As part of providing services, we can create anonymous, aggregated reports from your data.

Your Data Rights

• You can perform lookups—and request deletion—of your data through our Data Subject Access feature.

Confidentiality

Our services contain trade secrets. You must:

• Keep our confidential information secure.

• Use the same care you'd use for your own confidential information.

• Not share it with others.

Important Disclaimers

We provide our services "as is" without warranties. This means:

• We don't guarantee our services will always work perfectly.

• We don't promise they'll meet your specific needs.

• All legal warranties are disclaimed to the fullest extent allowed by law.

When This Agreement Ends

We Can End Your Account If:

• You don't pay your bills (after 30 days' notice via email).

• You break these terms (after 30 days' notice—via email—to fix it).

• You go bankrupt.

• We need to protect our services or other customers.

When Your Account Ends:

• Stop using our services immediately.

• Remove any integrations with the software we provided.

• We may keep charging you during suspensions.

• Some terms (like confidentiality) continue after termination.

• We may retain some or all of the data you have uploaded to the Service for up to 18 months.

Limits on Our Liability

What We're Not Responsible For

We're not liable for indirect damages like:

• Lost profits or business.

• Data loss (beyond what you paid us).

• Business interruption.

Damage Caps

Our total liability can't exceed what you paid us in the 12 months before the problem occurred.

Time Limits

You have 12 months from when you know about a problem to take legal action.

When You're Responsible

You'll cover our costs if we get sued because of:

• Your breach of these terms

• Your misuse of our services

• Your data or content

• Your negligence or intentional wrongdoing

Legal Details

Governing Law

Massachusetts law governs this agreement. Any disputes go to Massachusetts courts.

Changes to These Terms

We can change these terms. We'll give you 30 business days' notice (via email or in-app). If you keep using our services after that, you accept the changes.

Other Important Points

• If part of this agreement is invalid, the rest still applies.

• You can't assign this agreement to our competitors without our consent.

• We can identify you as a customer in our marketing.

• We're not responsible for delays due to events beyond our control.

• You must follow all export control and anti-corruption laws.
